TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of the Railstor platform ("Service") operated by Railstor LLC ("Railstor," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. DESCRIPTION OF SERVICE

Railstor is a private, invitation-only rail car storage management platform. The Service enables authorized users to manage rail car storage contracts, track car inventory, and generate invoices including integration with Intuit QuickBooks Online.

2. ACCESS AND ACCOUNTS

Access to the Service is restricted to users with accounts created by Railstor administrators. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to terminate or suspend accounts at any time for any reason.

3. QUICKBOOKS INTEGRATION

The Service includes optional integration with Intuit QuickBooks Online. By connecting your QuickBooks account:

• You authorize Railstor to create invoices and manage customer records in your QuickBooks company on your behalf
• You represent that you have the authority to grant this access
• You acknowledge that invoice data entered in Railstor will be transmitted to Intuit's servers
• You may revoke this authorization at any time through your Intuit account settings

Your use of QuickBooks through this integration is also subject to Intuit's Terms of Service.

4. ACCEPTABLE USE

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Interfere with or disrupt the Service or servers connected to the Service
• Share your account credentials with unauthorized individuals
• Use the Service to transmit false, misleading, or fraudulent information

5. DATA AND CONTENT

You retain ownership of all business data you enter into the Service. By using the Service, you grant Railstor a limited license to store and process your data solely for the purpose of providing the Service. We do not claim any ownership of your data.

6. DISCLAIMER OF WARRANTIES

The Service is provided "as is" without warranties of any kind, express or implied. Railstor does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We make no warranty regarding the accuracy of any information displayed in the Service.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Railstor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to errors in invoice generation or QuickBooks data synchronization.

8. MODIFICATIONS TO SERVICE

We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice. We may also update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

9. GOVERNING LAW

These Terms are governed by the laws of the State of Arkansas, without regard to its conflict of law provisions.
